Terms of Service

Last Updated: September 1, 2026

These Terms of Service (“Terms”) govern your access to and use of the services provided by OKO Labs, Inc., doing business as Product Leader Academy (“Company,” “we,” “us,” or “our”), a Florida corporation. By accessing or using our website, programs, or services, you agree to be bound by these Terms.

1. Definitions

  • “Services” refers to all products, programs, courses, coaching, Talent Search, Pro representation, Recruiter Desk, Recruiter connector, and resources offered by Product Leader Academy.
  • “Talent Search” is the company-paid service in which we run a product-talent search for a hiring company (the Client). It may include a retainer, a placement (fill) fee due when a presented candidate starts, or both, as set in the signed order form. The Client pays those fees, not the member. It is not Recruiter Desk and not Pro representation. Terms: /legal/talent-search.
  • “Pro representation” is a paid Pro membership benefit. With a human in the loop and your approval, we may surface your opted-in proof card and draft intros to Recruiter Desk subscribers and Talent Search clients. We do not auto-send. We do not charge you a success fee or a percentage of salary. §8.11.
  • “Recruiter connector” is the named-seat API, MCP, OAuth, desk token, and overlay path described in §8.10 and /legal/recruiter-connector. It is part of the Recruiter Desk, not a separate product and not an ATS.
  • “User” or “You” refers to any individual who accesses or uses our Services.
  • “Content” refers to all materials, including videos, documents, templates, and software provided through our Services.
  • “Membership” refers to access to our community platform and associated resources.

2. Eligibility

You must be at least 18 years old to use our Services. The Services are not directed to children under 13 (COPPA) and we do not knowingly collect personal information from anyone under 18. By using our Services, you represent and warrant that you meet this requirement, have the legal capacity to enter into these Terms, and, if you purchase a Recruiter Desk seat, that you have authority to bind the company you hire for.

3. Program Access and Accounts

3.1 Account Creation

To access certain Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account. Accounts are personal. You may not share, pool, or transfer login credentials. Recruiter Desk seats are named: one natural person, one unique Product Leader Academy community profile, one paid seat.

3.3 Lifetime Access

"Lifetime access" refers to access for the duration that Product Leader Academy continues to offer the specific program or service. We reserve the right to modify, update, or discontinue programs with reasonable notice to existing members.

4. Payment and Refunds

4.1 Pricing

All fees are displayed in USD. We reserve the right to change pricing at any time. Changes will not affect purchases already completed.

4.2 Payment Processing

Payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method for the specified amount.

4.3 Refund Policy

We offer a 7-day money-back guarantee for most programs. To request a refund, contact us at support@productleaderacademy.com within 7 days of purchase. Refunds are processed within 5-10 business days.

4.4 Scholarships

Scholarship recipients must adhere to all program requirements and community guidelines. Failure to maintain active participation may result in revocation of scholarship benefits.

5. Intellectual Property

5.1 Ownership

All Content provided through our Services is owned by OKO Labs, Inc. or our licensors and is protected by copyright, trademark, and other intellectual property laws.

5.2 License to You

We grant you a limited, non-exclusive, non-transferable license to access and use the Content for your personal, non-commercial use. You may not:

  • Reproduce, distribute, or publicly display Content without written permission
  • Modify, create derivative works from, or reverse engineer any Content
  • Share login credentials or allow others to access your account
  • Resell, sublicense, or commercially exploit any Content

5.3 Your Submissions

By submitting any content to our platform (including portfolio projects, comments, or feedback), you grant us a perpetual, worldwide, royalty-free license to use, display, and share such content for educational and promotional purposes.

6. Community Guidelines

You agree not to:

  • Harass, abuse, or discriminate against other members
  • Share false or misleading information
  • Spam or promote unrelated products/services
  • Violate any applicable laws or regulations
  • Attempt to circumvent security measures or access restrictions

We reserve the right to suspend or terminate accounts that violate these guidelines.

7. Disclaimers

7.1 Educational Purpose; No Guarantee of Outcome

Our Services are for educational and informational purposes only. Talent Search and Pro representation are introduction and search services; we still do not guarantee job placement, interviews, salary increases, promotions, admissions, employer introductions, or any specific career, financial, or business outcome. Any statistics, testimonials, or case studies we publish describe the experience of specific individuals and are not a promise or representation of the results you will achieve. Results vary based on individual effort, experience, qualifications, market conditions, employer decisions, and factors outside our control.

7.2 Use at Your Own Risk

You access and use our Services at your own risk. All Services, including the curriculum, community, AI coach, Certified Product Leader 360™ credential, Live Recruiter Sessions, Live Coach Sessions, cohort sprints, and any downloadable materials, are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. Any decision you make in reliance on our Services, including career moves, financial investments, or product decisions, is made by you alone. We are not responsible for outcomes that result from those decisions.

7.3 No Professional Advice

Content provided through our Services (including AI-generated responses and coaching sessions) is not legal, financial, tax, medical, or professional career advice. Except for the limited introductions in §8.6 and §8.11, no coach, reviewer, recruiter, or mentor engaged through our platform is acting as your attorney, fiduciary, or licensed advisor. Pro representation is a limited, human-in-the-loop introduction service. It is not a promise that we are a licensed employment agency in every jurisdiction, and we are not your attorney or fiduciary. You approve each intro before it is sent. Consult appropriately licensed professionals for advice specific to your situation.

7.4 Credential Disclaimer

The Certified Product Leader 360™ credential is a private credential issued by OKO Labs, Inc. It is not accredited by any government, university, or industry-recognized accrediting body, and is not equivalent to AIPMM, PMI, PMP, or any university certification. Employers and third parties evaluating this credential should treat it as evidence of portfolio-based coursework, not as an accredited qualification. Earning the credential requires passing a portfolio review against our published rubric; purchase of the credential fee does not guarantee issuance.

7.5 Live Sessions; Geographic Availability

Live Recruiter Sessions, Live Coach Sessions, and cohort sprints are provided by vetted third-party practitioners or by PLA-affiliated coaches and are offered only where we are legally permitted to offer them. Some jurisdictions regulate talent introduction, career counseling, or employment agency services separately; availability of Live Recruiter Sessions is therefore limited to residents of the jurisdictions in which we are authorized to operate, and we may refuse, cancel, or refund a booking if the purchaser resides outside an authorized jurisdiction. Availability may change without notice as our licensing footprint expands or contracts. Recruiters provide feedback on positioning, resume, and LinkedIn; warm introductions, if any, are discretionary and are not part of the paid scope.

7.6 AI Coach Disclaimer

The AI Career Coach is an automated tool that uses large language models to generate responses. It may produce inaccurate, incomplete, or outdated information. Do not rely on AI-generated output for consequential decisions without independent verification. The AI Coach does not create an advisor relationship of any kind.

7.7 AI Coach Fair Use

AI Coach access is subject to fair use. Free accounts may send up to 10 messages per day and Premium AI Coach subscribers up to 300 messages per day, measured on a rolling daily basis. We also apply short cooldown and burst limits to protect service quality for all members. These thresholds are set well above normal use and exist to prevent automated or abusive consumption; they are not a performance guarantee and may be adjusted, with the current figures always stated here.

We may suspend or throttle AI Coach access where usage indicates automation, resale, or other activity inconsistent with individual personal use.

7.8 Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance and unforeseen technical issues may result in temporary unavailability.

8. Recruiter Desk

8.1 Named seats

The Recruiter Desk is sold per named seat to in-house talent teams hiring into their own employing entity. Each seat requires a unique Product Leader Academy community profile tied to one natural person and that person's work email. Seats, passwords, and sessions may not be shared, pooled, or used as a team inbox. Adding another recruiter requires another seat. Staffing firms, search boutiques, and other agencies may not purchase or use the Desk as a self-serve bench license; they need a separate written supply or placement agreement with us.

8.2 Permitted use

Desk subscribers may browse members who opted into recruiter visibility, message them on the platform, shortlist, list roles, and receive applications. Member contact is intended to stay on PLA unless the member has set open-to-work visibility to public. You may not scrape, bulk-export, resell, or build a competing list from member profiles. You may not use Desk data or member Content to train, fine-tune, evaluate, or otherwise develop an AI or machine-learning system. You may not access the Desk with bots, agents, scrapers, or other non-human processes except through the Recruiter connector in §8.10. Named seats are one person; duplicate or shared accounts to evade that rule are a breach. Hires into the subscriber's own employing entity made through the Desk are covered by the subscription. Introducing, submitting, or placing a member at a third party (including a client of a staffing firm) is not covered by the Desk fee.

8.3 Identification date

A member is “identified” when the first of these occurs: (a) a Desk message or in-product application between you and the member; (b) a written introduction we send; or (c) any other PLA-logged contact we can timestamp. That timestamp is the Identification Date. It governs even if you later contact the same person off-platform (including LinkedIn). A LinkedIn connection or profile view, without a PLA-logged event, is not an Identification Date.

8.4 Twelve-month tail

If a member you identified starts work at your company, your affiliate, or a third party you introduced them to, within twelve (12) months after the last Identification Date, the hire is a PLA-sourced hire for that period. For third-party or agency placements, a fill fee is due under the separate agreement (or, if none, under our then-current placement terms discussed on a call — not published as a list price). For Desk subscribers hiring into their own employing entity, no extra fill fee applies solely because of this tail; the tail still defines sourcing credit and restricts leaking the member to a third party. We do not use an indefinite tail.

8.5 Prior-knowledge window

The Identification Date is the governing starting point unless you give written prior-knowledge notice within five (5) business days of that date. The notice must name the member and attach evidence that, before the Identification Date, the person was already in an active process: an ATS record, a submission to the hiring company, or a live conversation on that requisition, in each case timestamped before the Identification Date. A LinkedIn view or connection is not prior knowledge. If you do not send a timely notice, you accept PLA as first source. The burden of proof is on you.

8.6 Talent Search

If you ask us to run a search to fill your role, that is Talent Search — a separate engagement from Recruiter Desk and from Pro representation. The Client is the hiring company. Commercial terms may include a retainer, a placement (fill) fee due when a candidate we presented starts work, or both. Those amounts, replacement windows, and credit for an active Recruiter Desk named seat are set in the scoping call or signed order form, not on marketing pages, and are described at /legal/talent-search. We do not publish a fill percentage. If a Talent Search hire ends within ninety (90) days of start, replacement is as set in the order form. Educational programs and Pro representation still do not guarantee any hire. Identification Date, tail, and prior-knowledge rules in §8.3–8.5 apply. The placement fee, if any, is owed by the Client, not by the member.

8.7 Recruiter-owned contact book

Contacts you import into the Recruiter Desk stay yours. We do not treat them as PLA-commissioned talent. You may invite them to a free PLA account. Invites are sent in your name as the seat holder. You must have a lawful basis to email each contact.

8.8 Contractors

Search Partner (Originator), Talent Partner, Marketing Lead, and Community Engagement Lead seats are independent contractor roles under /legal/contractor and a Statement of Work. They are not Recruiter Desk seats and not employment.

8.9 Mentors

Mentors are unpaid. Terms: /legal/mentor. Paid 1:1 sessions are Partner Coach, a different agreement.

8.10 Recruiter connector

A live named seat may call the Recruiter connector: Streamable HTTP MCP at /api/mcp/recruiter, REST tools under /api/recruiter/connector/v1, OAuth 2.1 with PKCE, desk-issued pla_rk_ tokens, and the PLA Chrome overlay. Connector fair-use rules at /legal/recruiter-connector are incorporated into these Terms. Each call re-checks that the Stripe seat is active or trialing (or an admin / recruiter+ grant). Canceled, past-due, or shared seats are refused.

The connector returns opted-in directory profiles only. List and match responses do not include member email addresses. get_candidate, a JD match that the recruiter then opens, and in-product messages stamp Identification Date under §8.3–8.5 the same way the Desk UI does. A LinkedIn profile view, including one made while the overlay is open, is not identification.

You are the controller of any agent, IDE, or browser you connect (including Claude, ChatGPT, Grok, Cursor, Codex, and similar tools). Those systems are not PLA sub-processors. We do not send member data to them; your software pulls it. You are responsible for prompts, agent memory, logging, and whether that vendor trains on your context. You will not paste connector output into a model-training corpus, a competing talent database, or a bulk export. If the vendor offers a “do not train” control, use it for PLA member data.

The Chrome overlay may inject PLA matches next to LinkedIn Recruiter or a public /in/ page. It may use a visible job title or JD you already have as a query. It may not copy LinkedIn HTML, InMail, Recruiter project JSON, or profile fields into PLA. LinkedIn Recruiter System Connect is out of scope. Store listing of the overlay requires our written approval; dogfood load-unpacked does not waive LinkedIn's terms or these Terms.

PLA is a directory of members who opted in. It is not a consumer reporting agency under the Fair Credit Reporting Act. Connector results are not a consumer report. You remain responsible for your hiring process, including equal-employment and any background-check laws that apply to you. The connector is not an employment-agency placement; Talent Search is §8.6 and Pro representation is §8.11.

We may revoke tokens, OAuth grants, and overlay access without notice for seat sharing, scraping, exceeding fair-use caps by automation meant to dump the directory, or stuffing member data into a model or competing list.

8.11 Pro representation

Paid Pro membership includes Pro representation: we work for the member (the talent), not for a hiring company's requisition. That is the reverse of Talent Search. While your Pro membership is active, a proof card exists, and open-to-work visibility is recruiters or public, our staff (human in the loop) may use an agent to propose Recruiter Desk subscribers and Talent Search clients who fit you, and to draft an intro in your voice from your proof card, profile, credential, stated interests, and, if you enable it, coach-session context. We send only what you approve. We do not auto-message hiring managers or recruiters. We do not scrape LinkedIn to send InMail for you.

Pro dues are a membership fee. They are not a placement success fee and not a percentage of salary. If a Recruiter Desk subscriber hires you into their own employing entity, no extra fill fee is due from you or from that subscriber solely because of Pro representation; §8.3–8.5 still govern identification and leaking you to a third party. If we later run Talent Search for a company and present you, the Client's Talent Search fees in §8.6 apply to that Client, not to you.

You may turn off recruiter visibility or decline any proposed intro. Canceling Pro ends new representation work; identification logs already written remain. Pro representation does not guarantee interviews or a job. It is not retained senior search for a company.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OKO LABS, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100.00) OR (B) THE AMOUNTS YOU PAID TO US FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE JURISDICTIONS OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED.

10. Indemnification

You agree to indemnify, defend, and hold harmless OKO Labs, Inc., its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, your misuse of member data, your off-platform contact of members in breach of Section 8, employment or discrimination claims related to your hiring process, or your infringement of a third party's rights.

11. Termination

We may terminate or suspend your access to Services at any time for violation of these Terms, including seat sharing or scraping the directory. Upon termination, all licenses granted to you will immediately cease. Connector tokens and OAuth grants are revoked. Sections 5, 7, 8.3–8.6, 8.8–8.10, 9, 10, 12, and 13 survive termination.

12. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Exclusive venue for any dispute lies in the state courts located in Broward County, Florida, or in the United States District Court for the Southern District of Florida (Fort Lauderdale / Broward County). You consent to personal jurisdiction there. You waive any right to a jury trial to the extent permitted by law. You may bring claims only in your individual capacity, not as a plaintiff or class member in any class, collective, or representative proceeding. If a court finds the class waiver unenforceable as to a particular claim, that claim must be brought in the courts named above, not as a class. This Section does not deprive you of any non-waivable consumer right you may have under applicable law.

13. Additional protections

You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. If a provision is held unenforceable, the rest remains in effect. These Terms, together with the Privacy Policy, Recruiter connector terms, Talent Search terms, Pro representation in §8.11, contractor SOW, and any written order form, are the entire agreement and supersede prior discussions on the same subject. Failure to enforce a provision is not a waiver. We are not liable for delay or failure caused by events beyond our reasonable control. Headings are for convenience only.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through our platform. Your continued use of Services after changes constitutes acceptance of the updated Terms.
