Independent contractor terms
Last Updated: August 21, 2026
These terms cover 1099 contractor seats with OKO Labs, Inc. d/b/a Product Leader Academy: Search Partner (Originator), Talent Partner, Marketing Lead, and Community Engagement Lead. They are not employment. A signed Statement of Work (SOW) plus these terms plus the Terms of Service is the agreement.
1. Status
You are an independent contractor. You set your hours, use your own equipment except PLA tools we grant for the work, and may have other clients. We do not withhold taxes. You get a Form 1099 if required. Tools, a few leads, or a Slack channel do not make you an employee.
2. Originator
You originate Talent Search accounts outbound and get the Client MSA or order form signed. You do not sit on PLA inbound. You do not receive a Recruiter Desk seat as a staffing-firm license. Commission is a percentage of Talent Search fees PLA actually collects on a started hire you originated, at the rate in your SOW — not a list price on the site. Clawback matches the Client replacement window in that order form.
3. Talent Partner
You support Talent Search delivery with our farm (currently Danny): opted-in members, proof cards, confirmed interest, intros on PLA. You do not originate Client MSAs. Pay is in your SOW.
4. Marketing and Community leads
Scope is the SOW. You do not turn members into an originator lead list. You do not publish invented hire statistics.
5. IP and confidential information
Work product you create for PLA is ours. Member data stays on PLA. You may not scrape the directory or use member Content to train a model.
6. End
Either party may end the SOW on written notice. Accrued commission on already-started originated fills still due under the SOW survives. Florida law; venue Broward County. You must be 18.
